Asset Purchases

Vote CASE-BY-CASE on asset purchase proposals, taking into account:

  • Purchase price, including earnout and contingent payments

  • Fairness opinion

  • Financial and strategic benefits

  • How the deal was negotiated

  • Conflicts of interest

  • Other alternatives for the business

  • Noncompletion risk (company's going concern prospects, possible bankruptcy)
